1. Acceptance of Terms

By creating an account, completing a purchase, or otherwise accessing or using the Pyramid Digital Solutions platform and services, you agree to these Terms in their entirety. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you must not use our services. We reserve the right to modify these Terms at any time. Continued use of our services following notice of modifications constitutes acceptance of the revised Terms.

2. Description of Services

Pyramid Digital Solutions provides a suite of digital business tools, including but not limited to: AI-powered automation templates, workflow optimization software, digital resource libraries, productivity systems, analytics dashboards, and customer engagement tools (collectively, the "Services").

The specific features and capabilities available to you depend on the subscription plan you have purchased. We reserve the right to modify, update, or discontinue any feature or aspect of the Services at any time, with or without notice, provided that we will make commercially reasonable efforts to notify active subscribers of material changes.

3. Eligibility and Account Registration

You must be at least 18 years of age to use our Services. By registering for an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain adequate security of your account.

4. Subscription Plans and Payment

Our Services are provided on a subscription basis. By subscribing, you authorize us to charge your designated payment method for the applicable fees at the start of each billing cycle.

All fees are stated in Canadian dollars (CAD) unless otherwise specified. Prices are subject to change; we will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

Payments are processed through third-party payment processors. We do not store your complete payment card information on our servers. You agree to provide accurate and complete billing information and to promptly update such information as necessary.

5. Cancellation and Refund Policy

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. You will retain access to the Services until the end of the paid period.

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Generally, we offer a 7-day money-back guarantee on all new subscriptions. For detailed refund information, please review our Refund Policy page.

6. Intellectual Property

All content, features, and functionality of our Services — including but not limited to software, templates, frameworks, documentation, graphics, text, and design — are owned by Pyramid Digital Solutions or our licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes in accordance with these Terms. This license does not permit you to: (a) resell or sublicense access to our Services; (b) copy, modify, or distribute our proprietary content; (c) reverse engineer or attempt to extract source code from our platform; or (d) use our Services to build competing products.

7. User-Generated Content and Data

You retain all rights to data, content, and materials you upload to or create within our platform ("User Content"). By using our Services, you grant us a limited license to process and store your User Content solely for the purpose of providing the Services to you.

You represent and warrant that your User Content does not violate any applicable law, infringe on any third-party rights, or contain malicious code. We reserve the right to remove User Content that violates these Terms.

8. Acceptable Use

You agree not to use our Services to: (a) violate any applicable law or regulation; (b) transmit any material that is unlawful, harmful, defamatory, or otherwise objectionable; (c) engage in unauthorized data collection or scraping; (d) transmit spam, malware, or other malicious code; (e) impersonate any person or entity; (f) interfere with the operation of our Services or servers; (g) bypass any security or access controls; or (h) use our Services to facilitate the commission of any crime or tortious act.

Violation of this section may result in immediate termination of your account and access to our Services.

9. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. As a Canadian company, we comply with PIPEDA and applicable provincial privacy legislation.

By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

10. Disclaimers and Limitation of Liability

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Pyramid Digital Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use our Services. In no event shall our total liability exceed the amount paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pyramid Digital Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including legal fees — arising from or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or related to these Terms or our Services shall first be submitted to good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration administered in Toronto, Ontario, under the Arbitration Act, 1991 (Ontario), except that either party may seek injunctive relief from a court of competent jurisdiction.

13. Termination

We reserve the right to suspend or terminate your account and access to our Services at any time, with or without cause, upon reasonable notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment, or requests from law enforcement.

Upon termination, your right to access the Services ceases immediately. Provisions that by their nature survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — shall continue in full force and effect.
